Welcome to UpLinkAI ("we," "us," "our," "the Platform," or "the Company"). UpLinkAI is an AI-powered EduTech platform designed to bridge the gap between student learning and career earning — through personalized guidance, agentic AI tools, internship opportunities, portfolio building, and skill development resources.

UpLinkAI operates as a bridge platform: we connect students with collaborative companies, organizations, training centers, colleges, and universities to deliver curated opportunities and learning services. We do not directly employ or place students in jobs, nor do we guarantee employment outcomes.

What UpLinkAI Is

• An AI-driven career co-pilot platform for students and early-career learners
• A bridge between students and skill-building opportunities powered by Agentic AI
• A community platform delivering services through collaborative partners and organizations
• A pre-MVP startup with aspirations to formally incorporate as a company

What UpLinkAI Is Not

• A registered placement agency or employment guarantee service
• A fully incorporated company at this stage (pre-MVP startup)
• Directly affiliated with or endorsed by the colleges, universities, or companies mentioned on our platform unless explicitly stated
• A financial institution or investment platform

These Terms of Service ("Terms"), Privacy Policy, and related policies govern your access to and use of UpLinkAI's website, mobile applications, tools, AI agents, and all associated services (collectively, the "Services"). By accessing or using UpLinkAI, you agree to be bound by these Terms.

Who Can Use UpLinkAI

The Services are available to individuals who meet the following criteria:

• You are at least 13 years of age. Users under 18 must have parental or guardian consent.
• You are a student, learner, educator, or professional seeking skill development or career growth.
• You have the legal capacity to enter into a binding agreement under applicable laws.
• You are not barred from using the Services under applicable Indian or international laws.

Account Creation

When you register an account on UpLinkAI, you agree to:

• Provide accurate, current, and complete registration information
• Maintain the security and confidentiality of your account credentials
• Notify us immediately of any unauthorized access to your account
• Not create multiple accounts for deceptive or fraudulent purposes
• Accept full responsibility for all activities conducted under your account

Verification

We may require email or phone verification during registration. OTP-based verification is used to confirm your identity. You are responsible for ensuring that the contact details provided are valid and belong to you.

By accessing or using UpLinkAI, you expressly agree to the following terms. If you do not agree, you must discontinue use of the Platform immediately.

Acceptance of Terms

These Terms constitute a legally binding agreement between you ("User") and UpLinkAI ("Platform"). Your continued use of our Services after any modification to these Terms constitutes your acceptance of the revised Terms. We will make reasonable efforts to notify users of material changes via email or platform notifications.

Modifications

UpLinkAI reserves the right to modify, update, or replace any part of these Terms at any time. It is your responsibility to review these Terms periodically. The "Last Updated" date at the top of this page indicates the most recent revision.

Prohibited Activities

You agree not to:

• Use the Platform for any unlawful, fraudulent, or malicious purpose
• Attempt to gain unauthorized access to our systems, data, or user accounts
• Scrape, harvest, or collect user data from the Platform without written permission
• Upload or distribute malware, viruses, or harmful code
• Impersonate UpLinkAI, our team, partners, or other users
• Post false, misleading, defamatory, or offensive content
• Engage in spamming, phishing, or unsolicited commercial communications
• Reverse-engineer, decompile, or disassemble any part of our platform
• Use our AI tools to generate illegal, harmful, or abusive content
• Violate intellectual property rights of UpLinkAI or any third party
• Circumvent geographic or access restrictions intentionally built into the Services

Termination

UpLinkAI reserves the right, in its sole discretion, to suspend or terminate your account and access to the Services at any time, with or without notice, for any violation of these Terms. Upon termination, your right to use the Platform ceases immediately.

UpLinkAI delivers its services through multiple channels and platforms in collaboration with partner organizations. Our services include, but are not limited to:

Service Availability

As a pre-MVP startup, certain features may be in beta, experimental, or subject to change without prior notice. We do not guarantee uninterrupted or error-free access to all services at all times. We reserve the right to modify, suspend, or discontinue any service at any time.

No Placement Guarantee

UpLinkAI does not guarantee job placement, internship selection, or specific career outcomes. Our platform provides tools and opportunities, but final selection decisions rest with partner employers and organizations. We act solely as a facilitating bridge platform.

What We Charge For

UpLinkAI charges a nominal platform/service fee for the following:

• Premium membership access and exclusive features
• Curated opportunity listings and priority applications
• Advanced AI tools and career acceleration features
• Certified programs delivered through partner organizations

Pricing

All fees are listed in Indian Rupees (INR) and are subject to applicable taxes. Pricing may change over time with reasonable notice. Any changes will not retroactively affect already-purchased plans.

Exceptions

Refunds will only be considered in cases where:

• A duplicate payment has been made due to a technical error (with documented proof)
• UpLinkAI is found to have committed a material breach of service delivery

All such requests must be submitted within 7 days of the transaction to uplinkai.connect@gmail.com with valid transaction proof. UpLinkAI reserves the right to make the final determination on all refund requests.

Payment Security

Payments are processed through trusted third-party payment gateways. UpLinkAI does not store your complete card or banking information. All transactions are encrypted and subject to the payment provider's security standards.

Nature of Partnerships

UpLinkAI works with a range of collaborative entities to enrich student opportunities. These partnerships may include:

• Collaborative Companies: Organizations such as KokoLab, iDigitalpreneur, Cosmic365.ai, VegAI, Adroit Computer Center, and others who collaborate with us to provide opportunities, projects, or resources to students.
• Educational Institutions: Colleges and universities including but not limited to Lamrin Tech Skills University, IIIT Delhi, VIT Bhopal, IIMT Greater Noida, IIT Ropar, and NIT Jamshedpur — from whose student bodies our user community is drawn.
• Government Programs: Initiatives such as Google Skill India and other government-aligned skill development programs that we reference or facilitate access to.

Third-Party Responsibility

UpLinkAI does not control and is not responsible for the actions, content, products, or services of our partner organizations. Any dispute arising from services delivered by a partner entity must be addressed directly with that partner. UpLinkAI acts only as a facilitating bridge.

No Liability for Partner Services

UpLinkAI shall not be held liable for any loss, damage, or dissatisfaction arising from services, events, or interactions provided by collaborative partners, affiliated organizations, or third-party platforms — even where UpLinkAI facilitated the connection.

Trademark & Brand Names

All company names, brand names, logos, and trademarks mentioned on UpLinkAI's platform belong to their respective owners. Their mention does not imply endorsement of UpLinkAI, nor does it constitute any trademark infringement. They are used for descriptive and informational purposes only, consistent with nominative fair use principles.

UpLinkAI's Property

All content on the UpLinkAI platform — including but not limited to logos, design, UI/UX elements, text, graphics, AI-generated outputs branded under UpLinkAI, software code, course content (created by UpLinkAI), and branding — is the exclusive intellectual property of UpLinkAI and its creators. All rights are reserved.

You may not copy, reproduce, modify, distribute, publish, sell, or create derivative works from any UpLinkAI content without prior written permission from UpLinkAI.

Your Content

When you submit content to UpLinkAI (such as portfolio pieces, profile information, or user-generated submissions), you retain ownership of your content. However, by submitting content, you grant UpLinkAI a non-exclusive, royalty-free, worldwide license to use, display, and distribute that content within the platform for the purpose of providing our Services.

DMCA & Takedowns

If you believe that content on our platform infringes your intellectual property rights, please contact us at uplinkai.connect@gmail.com with the subject line "IP Infringement Notice." We will investigate and respond within a reasonable timeframe.

Feedback

Any feedback, suggestions, or ideas you provide regarding UpLinkAI's services may be used by us without any obligation of confidentiality or compensation to you.

UpLinkAI is committed to protecting your privacy. This Privacy Policy explains how we collect, use, store, and protect your personal information when you use our Platform.

Information We Collect

• Account Information: Name, email address, phone number, and password when you register
• Profile Data: Educational details, skills, career goals, and portfolio content you voluntarily provide

Data Storage

Your data is stored on secure servers provided by Google Firebase and associated cloud infrastructure. We implement reasonable administrative, technical, and physical safeguards to protect your personal information against unauthorized access, alteration, disclosure, or destruction.

Data Retention

We retain your personal data for as long as your account is active or as needed to provide services. Upon account deletion, we will make reasonable efforts to delete or anonymize your data within 30 days, except where retention is required by law or for legitimate business purposes (e.g., transaction records).

Cookies & Tracking

UpLinkAI uses cookies and similar tracking technologies to:

• Maintain your login session and authentication state
• Understand how users interact with our platform (analytics)
• Improve platform performance and user experience
• Remember your preferences and settings

You can control cookie settings through your browser. Disabling certain cookies may affect platform functionality. We use Google Firebase Analytics and may use other analytics tools to gather anonymized usage data.

Children's Privacy

UpLinkAI does not knowingly collect personal information from children under the age of 13. If we become aware that we have collected such information, we will take immediate steps to delete it. Parents or guardians who believe their child has provided us with personal information should contact us immediately.

Data Breach Response

In the event of a data breach that poses a risk to your rights and freedoms, we will notify affected users and relevant authorities within 72 hours of becoming aware, in accordance with applicable regulations.

Disclaimer of Warranties

To the fullest extent permitted by applicable law, UpLinkAI expressly disclaims all warranties, express or implied, including but not limited to:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement
• Guarantees of uninterrupted, error-free, or secure operation of the Platform
• Accuracy, completeness, or reliability of any information provided through the Platform
• Specific career or employment outcomes resulting from use of our Services

Limitation of Liability

To the maximum extent permitted by law, UpLinkAI, its founders, team members, partners, and affiliates shall not be liable for:

• Any direct, indirect, incidental, special, or consequential damages arising from use of the Platform
• Loss of data, profits, opportunities, or goodwill
• Actions or services provided by third-party partners or platforms
• Unauthorized access to your account resulting from your failure to maintain security
• Inaccuracies in AI-generated recommendations, content, or outputs

Where liability cannot be fully excluded under applicable law, UpLinkAI's total aggregate liability shall be limited to the amount you paid to UpLinkAI in the 3 months preceding the claim, or ₹500 — whichever is lower.

Indemnification

You agree to indemnify, defend, and hold harmless UpLinkAI and its founders, officers, collaborators, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising from: (a) your violation of these Terms; (b) your use of the Platform; (c) any content you submit; or (d) your violation of any rights of a third party.

UpLinkAI is a student community platform built on respect, integrity, and genuine growth. We expect all users to uphold the following standards:

Respect & Inclusion

• Treat all community members with respect regardless of background, caste, religion, gender, or nationality
• Do not engage in harassment, bullying, discrimination, or hate speech of any kind
• Do not post content that is obscene, defamatory, or sexually explicit

Honesty & Integrity

• Do not misrepresent your qualifications, experience, or identity on your profile
• Do not submit fraudulent applications for opportunities
• Do not claim credits, certificates, or achievements you did not earn

Platform Integrity

• Do not attempt to manipulate platform algorithms, ratings, or review systems
• Do not share your account credentials with others
• Do not use automated bots or scripts to interact with our platform

UpLinkAI is powered by Agentic AI technologies that provide personalized career guidance, recommendations, and automated interactions. By using our AI tools, you acknowledge and agree to the following:

Nature of AI Outputs

• AI-generated recommendations, career paths, and content are suggestive in nature and should not be taken as professional career, legal, or financial advice
• AI outputs may contain errors, biases, or inaccuracies. Always exercise your own judgment
• UpLinkAI is not liable for decisions made based solely on AI-generated content

Acceptable Use of AI Features

• AI tools must be used only for lawful, ethical, and educational purposes
• Do not attempt to manipulate, "jailbreak," or extract unauthorized information from our AI systems
• Do not use our AI to generate harmful, illegal, defamatory, or misleading content

AI Data Usage

Your interactions with our AI tools may be used (in anonymized form) to improve model performance, enhance recommendations, and develop better platform features. No personally identifiable interaction data will be shared with third parties for commercial purposes.

Third-Party AI Services

Some of our AI features may be powered by third-party AI providers (such as language model APIs). In such cases, your inputs may be processed by those providers in accordance with their respective privacy policies.

Applicable Law

These Terms and all matters relating to your use of UpLinkAI shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Specific applicable statutes include:

• The Information Technology Act, 2000 and IT (Amendment) Act, 2008
• The Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011
• The Digital Personal Data Protection Act, 2023 (DPDPA)
• The Indian Contract Act, 1872
• The Consumer Protection Act, 2019

Jurisdiction

Any disputes arising from or relating to these Terms or the use of UpLinkAI services shall be subject to the exclusive jurisdiction of courts located in Lucknow, Uttar Pradesh, India.

Dispute Resolution

Before initiating legal proceedings, we encourage you to first contact us at uplinkai.connect@gmail.com to resolve the dispute amicably. We will make good-faith efforts to resolve any complaint within 15 working days.

Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

Entire Agreement

These Terms, together with the Privacy Policy and any other policies posted on the Platform, constitute the entire agreement between you and UpLinkAI regarding use of the Services, and supersede all prior agreements, representations, or understandings.
